API Terms of Use

Thank you for using Teamwork Application Programming Interface (Teamwork “API”). You are strongly recommended to read through the terms as stated in this Agreement. If you disagree with any of these terms, you will not be granted the license to use the APIs. Teamwork reserve the rights to change these terms in the future without notice, and you can always find the latest version from this page.

Anyone who found violating any of these terms will have their license terminated, and thus revoke the rights to use the APIs.

  1. License Use

    Subject to the terms and conditions in this Agreement, TalkBox hereby grants you and you accept a non-exclusive, royalty free, non-transferable, non-sublicensable, revocable license during the Term solely to use the Teamwork API to develop and implement your Services.

    You shall:

    1. Comply with the Teamwork Terms of Service at http://talkboxapp.com/teamwork/terms.
    2. Comply with any requirements or restrictions imposed on usage of any APIs as stated in the API documentation.

    You shall not:

    1. Use the Teamwork APIs for any application that replicates or attempts to replace the essential user experience of any Teamwork Consoles or Teamwork Apps.
    2. Attempt to cloak or conceal your identity or your application's identity when requesting authorization to use Teamwork APIs.
    3. Expose user sessions or tokens to third-party services by enabling SSO integrations.
    4. Use the Teamwork APIs in any manner or for any purpose that violates any law or regulation, or any rights of any person, including but not limited to intellectual property rights, rights of privacy, or rights of personality.
    5. Use the Teamwork APIs in a manner that adversely impacts the stability of TalkBox servers or adversely impacts the behavior of other applications using the Teamwork APIs.

  2. Restriction

    1. Reverse Engineering and other Limitations. You will not or attempt to (and will not allow others to) 1) reverse engineer, decompile, disassemble or translate the Teamwork API, or otherwise attempt to derive source code, trade secrets or know-how in or underlying any Teamwork API or any portion thereof; 2) interfere with, modify, disrupt or disable features or functionality of the Teamwork API, including without limitation any such mechanism used to restrict or control the functionality, or defeat, avoid, bypass, remove, deactivate or otherwise circumvent any software protection or monitoring mechanisms of the Teamwork API; 3) sell, rent, lease, sublicense, distribute, redistribute, syndicate, create derivative works of, assign or otherwise transfer or provide access to, in whole or in part, the Licensed Material to any third party except as expressly permitted herein; 4) provide use of the Teamwork API on a service bureau, rental or managed services basis or permit other individuals or entities to create links to the Teamwork API or “frame” or “mirror” the Teamwork API on any other server, or wireless or Internet-based device, or otherwise make available to a third party, any token, key, password or other login credentials to the Teamwork API; or 5) use the Licensed Material for any illegal, unauthorized or other improper purposes.
    2. Rate Limits. You will not attempt to exceed or circumvent limitations on access, calls and use of the Teamwork API (“Rate Limits”), or otherwise use the Teamwork API in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise fails to comply or is inconsistent with any part of this Agreement. If you exceed or it was reasonably believed that you have attempted to circumvent Rate Limits, controls to limit use of the Teamwork APIs or the terms and conditions of this Agreement, then your ability to use the Licensed Materials may be temporarily suspended or permanently blocked. You may be monitored to the use of the Teamwork API to improve the Teamwork Service and to ensure your compliance with this Agreement.

  3. Ownership

    TalkBox owns all rights, title, and interest in and to the Teamwork APIs. These terms grant you no right, title, or interest in any intellectual property owned or licensed by TalkBox, including (but not limited to) the Teamwork APIs and Teamwork trademarks. The Teamwork APIs may be protected by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the Hong Kong and other countries. TalkBox's rights apply to the Teamwork APIs and all output and executables of the Teamwork APIs, excluding any software components developed by you which do not themselves incorporate the Teamwork APIs or any output or executables of the Teamwork APIs.

  4. Confidentiality

    You may be given access to certain non-public information, software, and specifications relating to the Teamwork API and other related materials (“Confidential Information”), which is confidential and proprietary to TalkBox. You may use this Confidential Information only as necessary in exercising your rights granted in this Agreement. You may not disclose any of this Confidential Information to any third party without TalkBox’s prior written consent. You agree that you will protect this Confidential Information from unauthorized use, access, or disclosure in the same manner that you would use to protect your own confidential and proprietary information of a similar nature and in no event with less than a reasonable degree of care.

  5. Limitation of Liability

    TalkBox shall not, under any circumstances, be liable to you for any indirect, incidental, consequential, special or exemplary damages arising out of or in connection with use of the Teamwork APIs, whether based on breach of contract, breach of warranty, tort (including negligence, product liability or otherwise), or any other pecuniary loss, whether or not TalkBox has been advised of the possibility of such damages. Under no circumstances shall TalkBox be liable to you for any amount.

    To the maximum extent permitted by applicable law, you hereby release and waive all claims against TalkBox, and its subsidiaries, affiliates, officers, agents, licensors, co-branders or other partners, and employees from any and all liability for claims, damages (actual and/or consequential), costs and expenses (including litigation costs and attorneys' fees) of every kind and nature, arising from or in any way related to your use of the Teamwork APIs

  6. Support

    TalkBox may elect to provide you with support or modifications for the Teamwork APIs (collectively, "Support"), in its sole discretion, and may terminate such Support at any time without notice to you. TalkBox may change, suspend, or discontinue any aspect of the Teamwork APIs at any time, including the availability of any Teamwork APIs. TalkBox may also impose limits on certain features and services or restrict your access to parts or all of the Teamwork APIs or the Teamwork Web site without notice or liability.
